In share purchase transactions, parties use different pricing structures to determine the purchase price. One of them is “earn-out” which enables the parties to overcome their disagreement on the price by postponing payment of a certain portion to a time after the transfer of the shares. The mechanism basically bridges the valuation gap between the parties on the price of the shares, which is caused by various reasons resulting directly from the parties, such as information asymmetry, or external ones like market conditions. In this system, the initial lump-sum portion of the purchase price is paid at closing simultaneously with the share transfer, whereas the contingent portion of the price becomes due upon the target company achieving some performance goals during the post-closing period. An increase has been observed in use of the earn-out mechanism in share purchase agreements both in Europe and the United States. Given that Turkey follows the trends in Europe and the United States in the field of M&A an in-depth analysis of earn-out clauses is of importance.
